NexFlow Inc. Terms & Conditions — Effective July 24, 2026.
Scope and acceptance. These Terms govern access to the NexFlow Inc. website, consultation requests, communications, proposals, and any future paid AI deployment, advisory, software, or related services. By using the website, submitting a request, or entering a separate agreement with NexFlow Inc., you agree to these Terms.
Consultations and proposals. A consultation request is not a commitment to provide services, a statement of work, or a guarantee of availability, pricing, outcomes, or a business relationship. NexFlow Inc. may accept, decline, pause, or discontinue discussions at its discretion. Any paid engagement must be governed by a separate written agreement signed by NexFlow Inc.
Client responsibilities. Clients are responsible for the accuracy, legality, permissions, security, and suitability of all data, systems, instructions, decisions, and use of any deliverables. Clients must maintain appropriate human review and must not use outputs as the sole basis for high-impact, regulated, medical, legal, financial, employment, safety-critical, or other consequential decisions.
AI services and no guarantee. AI-enabled systems are probabilistic and may produce incomplete, inaccurate, biased, unavailable, or otherwise unsuitable results. NexFlow Inc. does not guarantee any specific performance, savings, revenue, availability, accuracy, compliance outcome, security posture, interoperability, or business result.
Control of service delivery. NexFlow Inc. retains control over its methods, personnel, tooling, architecture, and service-delivery decisions, subject to any signed written agreement. NexFlow Inc. may use subcontractors and third-party providers where appropriate.
Intellectual property and client materials. Each party retains ownership of its pre-existing materials. Clients grant NexFlow Inc. the rights necessary to access, use, and process client materials solely to provide, support, secure, and improve the agreed services. Any ownership, license, deliverable, or custom-development rights for a paid engagement will be governed exclusively by the applicable written agreement.
Confidentiality and data. Consultation requests may contain sensitive information. Do not submit regulated, highly sensitive, or confidential information unless expressly requested and protected under a written agreement. NexFlow Inc. may use reasonable operational safeguards but does not guarantee absolute security.
Fees and payment. Fees, expenses, payment timing, taxes, and any refund terms apply only as stated in a signed written agreement. Unless that agreement says otherwise, fees are non-refundable to the fullest extent permitted by law.
Disclaimers. The website and services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, NexFlow Inc. disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted service, error-free performance, and accuracy.
Limitation of liability. To the fullest extent permitted by law, NexFlow Inc., its officers, directors, employees, contractors, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages; loss of data, goodwill, revenue, opportunity, or business interruption; or claims arising from third-party systems, client data, client instructions, or use of AI outputs. For any claim relating to a paid engagement, NexFlow Inc.’s aggregate liability will not exceed the fees actually paid to NexFlow Inc. for the specific services giving rise to the claim during the three months before the event giving rise to liability. Nothing in these Terms limits liability that cannot lawfully be limited.
Indemnification. To the fullest extent permitted by law, clients will defend, indemnify, and hold harmless NexFlow Inc. and its officers, directors, employees, contractors, and suppliers from claims, losses, liabilities, damages, and expenses arising from client materials, client instructions, client systems, client misuse, or client breach of these Terms or any applicable law.
Suspension and termination. NexFlow Inc. may suspend, restrict, or terminate website access, communications, or services where it reasonably considers this necessary for security, legal compliance, nonpayment, misuse, risk management, or protection of NexFlow Inc. or others.
Governing law and venue. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Any dispute not otherwise resolved by a signed written agreement must be brought exclusively in the state or federal courts located in Delaware, and each party consents to that jurisdiction and venue.
Changes and contact. NexFlow Inc. may update these Terms by posting a revised version on this website. Continued use after the effective date constitutes acceptance to the extent permitted by law. For questions, contact arjundixit3508@gmail.com.
